1. Acceptance of These Terms
By checking the box marked "I have read and agree to the Terms of Service and Privacy Policy," by clicking "I Agree," "Create Account," "Subscribe," or a similar button, or by otherwise accessing or using the Service, you affirmatively agree to be bound by these Terms and by our Privacy Policy, incorporated by reference. If you are entering into these Terms on behalf of another person or a household, you represent that you have the authority described in Section 4. If you do not agree, do not check the box, do not click "I Agree," and do not use the Service. We may require you to re-accept when we make material changes (Section 17).
2. Description of the Service
ANDITO is a software-only monitoring-assistance tool for family caregivers. When configured by you, ANDITO: connects to a webcam you supply and control ("your camera") positioned to observe a monitored individual (the "Monitored Person") in a private residence; uses AI software running on the device in your home to estimate conditions such as whether the Monitored Person appears to be in bed, their approximate position and activity, and similar high-level observations; sends transactional SMS text alerts to the mobile number you designate when configured events are detected; sends morning and evening summary texts at the times you choose; and provides a web-based caregiver dashboard.
Video only — no audio. ANDITO captures video only; no audio is recorded, transmitted, or stored.
What ANDITO is not: ANDITO does not provide medical, nursing, diagnostic, or emergency-response services; it does not dispatch help; it does not guarantee that any event will be detected; and it does not record video or send it out of your home. See Section 3. Features, thresholds, and behavior may change over time; we do not guarantee any particular feature, detection capability, or uninterrupted operation.
3. CRITICAL SAFETY DISCLAIMER — READ THIS FIRST

ANDITO IS NOT A MEDICAL DEVICE. IT IS NOT A MEDICAL, EMERGENCY, LIFE-SAFETY, FALL-DETECTION, OR ALARM SYSTEM. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL CARE, PROFESSIONAL CAREGIVING, IN-PERSON SUPERVISION, OR EMERGENCY SERVICES.
DO NOT RELY ON ANDITO IN AN EMERGENCY. IN AN EMERGENCY, CALL 911 (OR YOUR LOCAL EMERGENCY NUMBER) IMMEDIATELY.
ANDITO uses artificial intelligence to make estimates, not certainties. Alerts and digests may be delayed, may be inaccurate, may be incomplete, may be triggered in error, or may fail to be delivered at all. ANDITO can and will fail to detect events, including serious ones such as falls, distress, medical emergencies, wandering, choking, or death.
ANDITO depends on conditions outside our control, including electrical power, internet connectivity, the home device, your camera and its positioning, lighting, obstructions, mobile-carrier and messaging-provider availability, and the inherent limitations of AI vision models. Any of these can cause missed, delayed, or false alerts.
YOU MUST NOT USE ANDITO AS YOUR SOLE OR PRIMARY MEANS OF ENSURING THE SAFETY OF THE MONITORED PERSON. ANDITO is a supplemental awareness aid alongside — never in place of — appropriate professional care, human supervision, and established emergency arrangements.
We make no guarantee of detection, accuracy, timeliness, completeness, or delivery of any alert, digest, or observation. You assume all risk arising from your reliance on the Service.
By using the Service, you acknowledge that you have read, understood, and accepted this Safety Disclaimer.
4. Eligibility, Caregiver Authority, and Consent to Monitor
By accepting these Terms and using the Service, you represent, warrant, and covenant to us on a continuing basis that:
(a) Age and capacity. You are at least 18 and have legal capacity to contract.
(b) Lawful authority over the Monitored Person. You have the lawful authority to install and operate video monitoring of the Monitored Person and, where the Monitored Person cannot consent for themselves, to consent to such monitoring on their behalf — for example, as the Monitored Person's legal guardian or conservator, a holder of a valid durable power of attorney or healthcare proxy/healthcare power of attorney covering such decisions, or otherwise possessing lawful authority because the Monitored Person is unable to consent. If the Monitored Person is capable of consenting, you have obtained their informed consent.
(c) Recording-consent law compliance. You are solely responsible for determining and complying with all applicable laws governing audio and/or video recording, monitoring, surveillance, eavesdropping, and wiretapping where the camera is located. These laws vary significantly by U.S. state — some permit recording with only one party's consent ("one-party consent"); others require all parties' consent ("all-party"/"two-party" consent); audio is frequently treated more strictly than video. You are responsible for lawful configuration and placement of the camera.
(d) Location and scope. You will place and aim the camera only within the Monitored Person's own private residence or private room, only to observe the Monitored Person and their immediate care environment, and not to unlawfully surveil any third party. You will not place a camera where a third party has a reasonable expectation of privacy in violation of applicable law.
(e) Third-party care workers. If professional caregivers or other workers may be captured, you are responsible for any notice and consent required by applicable law and any employment/agency rules.
These representations are a material inducement to us providing the Service; a breach of this Section is a material breach of these Terms.
5. Accounts and Security
You must provide accurate, current, complete information, safeguard your credentials, and are responsible for all activity under your account. Notify us promptly at andito@sahlware.com of unauthorized use. We are not liable for loss arising from your failure to secure your account.
6. Subscription, Billing, and Cancellation
(a) Price and billing cycle. The Service is offered on a month-to-month subscription at $29.00 per month (or the price then displayed at checkout), plus applicable taxes, with no long-term contract and no lock-in. You authorize us and our payment processor, Stripe, Inc., to charge your payment method monthly until you cancel. By providing a payment method you authorize recurring charges of the subscription price, plus applicable taxes, on each monthly renewal date until you cancel as described in (c). We will email a receipt for each charge and a reminder before any price change takes effect.
(b) Automatic renewal. Your subscription automatically renews monthly until you cancel. You may cancel at any time; cancellation stops future renewals and, unless a refund applies under (d) or (e), does not retroactively refund the current period, and you retain access through the end of the paid period.
(c) How to cancel. Cancel anytime from account settings or by emailing andito@sahlware.com. No cancellation fee.
(d) 30-day money-back guarantee. New subscribers may request a full refund of the first payment within 30 days of the initial start date via andito@sahlware.com. First paid month only, once per customer/household.
(e) Compassionate cancellation. If the Monitored Person dies or permanently moves to a care facility where the Service is no longer used, you may cancel and request a pro-rata refund of the unused portion of the then-current billing period. We handle such requests with sensitivity and minimal documentation.
(f) Price changes. We will give at least 30 days' advance notice of any increase, effective at your next renewal after the notice; you may cancel before it takes effect.
(g) Failed payments. We may retry and may suspend or terminate until resolved. Suspension or termination stops alerts and digests.
7. SMS / Text Messaging Terms
The following supplements the separate SMS opt-in presented at setup and the Mobile / SMS Messaging section of the Privacy Policy.
- Opt-in and consent. By providing a mobile number and enabling alerts, you consent to receive transactional service text messages from ANDITO, including safety-related alerts and service notifications (for example, a device-offline notice). Your morning and evening summary texts are also delivered by SMS, at the times you choose in Settings.
- Not a condition of purchase. Consent to marketing texts is not required to purchase. Consent to transactional alert texts is necessary only because those texts are the mechanism by which the alerting feature is delivered — opting out disables the SMS-alert feature.
- Message frequency. Frequency varies with activity and detected events.
- Rates. Message and data rates may apply. ANDITO does not charge for the messages; your carrier may.
- Opt-out. Reply STOP to opt out at any time. If you reply STOP, you will no longer receive SMS safety alerts, disabling a core function.
- Help. Reply HELP, or contact andito@sahlware.com.
- Delivery not guaranteed. SMS delivery depends on your carrier and factors outside our control (Section 3).
- Number changes. Keep your mobile number current and notify us if you change or relinquish it.
8. Acceptable Use
You will not, and will not permit anyone to: use the Service for unlawful surveillance, stalking, harassment, or in violation of Section 4 or any recording-consent/privacy/wiretapping law; monitor anyone other than the Monitored Person you are authorized to monitor; resell, sublicense, rent, lease, or redistribute the Service; use one subscription for more than one household and one Monitored Person; reverse engineer the Service except where that restriction is prohibited by law; interfere with or gain unauthorized access to the Service; circumvent usage limits, security, or privacy safeguards; or use the Service in any manner that could harm any person or violates law. We may suspend or terminate for any actual or suspected violation.
9. Your Data and Privacy
(a) In-home analysis. Video is analyzed on the device in your home and is not recorded or sent out of your home. ANDITO captures video only (no audio). Only text observations and a small number of snapshots that pass our fail-closed privacy checks leave your home, as described in Privacy Policy Section 5. (b) Your data. As between you and us, you retain ownership of the footage you generate and the data you provide, and grant us a limited, non-exclusive license to process it solely to provide, maintain, secure, and improve the Service, consistent with the Privacy Policy. (c) No sale of monitoring data. We do not sell the Monitored Person's monitoring data. (d) Details. The Privacy Policy governs collection, use, retention, and disclosure and is incorporated into these Terms.
10. Intellectual Property; License
The Service (software, models, dashboards, designs, text, graphics, trademarks) is owned by ANDITO or its licensors. Subject to your compliance and payment, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for your own personal, non-commercial caregiving purposes. All rights not expressly granted are reserved. You retain ownership of your data (Section 9). Feedback you provide is licensed to us perpetually and royalty-free.
11. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANDITO AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ANDITO MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT ALERTS OR DIGESTS WILL BE DELIVERED, ACCURATE, TIMELY, OR COMPLETE; OR THAT THE AI MODEL WILL CORRECTLY DETECT, CLASSIFY, OR REPORT ANY CONDITION OR EVENT. YOU ACKNOWLEDGE THE SAFETY DISCLAIMER IN SECTION 3 AND ASSUME ALL RISK ARISING FROM USE OF OR RELIANCE ON THE SERVICE. Some jurisdictions do not allow the exclusion of certain warranties, so some exclusions may not apply to you.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) EXCLUSION OF INDIRECT DAMAGES. IN NO EVENT WILL ANDITO OR ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, ON ANY THEORY, EVEN IF ADVISED OF THE POSSIBILITY. (b) CAP ON DIRECT DAMAGES. ANDITO'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (i) THE FEES YOU ACTUALLY PAID IN THE TWELVE (12) MONTHS PRECEDING THE EVENT, OR (ii) ONE HUNDRED U.S. DOLLARS ($100). (c) BASIS OF THE BARGAIN. The disclaimers and limitations in Sections 3, 11, and 12 are essential elements of the agreement and apply even if a limited remedy fails of its essential purpose. (d) EXCEPTIONS AND STATE LAW. Some jurisdictions do not allow the exclusion or limitation of certain damages — liability for personal injury, death, gross negligence, willful misconduct, or fraud may not be limited or excluded in some states. Where prohibited, that limitation will not apply to you but will apply to the fullest extent permitted, and the remaining provisions remain in force.
13. Indemnification
You agree to defend, indemnify, and hold harmless ANDITO and its officers, members, employees, agents, and suppliers from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Service; (b) your violation of these Terms, including any breach of Section 4 (caregiver authority and consent); (c) your unlawful surveillance, recording, or monitoring, or violation of any recording-consent, privacy, wiretapping, or other law; (d) your infringement of the rights of any third party (including the Monitored Person or any person captured by your camera); or (e) any content or data you provide. We may assume exclusive defense and control of any indemnified matter, with your cooperation.
14. Not HIPAA; Not Medical Advice; Not a Covered Entity
ANDITO is a consumer product sold directly to family caregivers. ANDITO is not a covered entity or business associate under HIPAA, and the Service is not designed to comply with HIPAA. Information you receive is not medical advice, diagnosis, or treatment; ANDITO does not practice medicine or nursing or provide clinical services. Always consult a qualified healthcare professional regarding the Monitored Person's care and follow their guidance and any established care plan. Nothing in the Service replaces professional medical judgment. See Section 3.
15. Dispute Resolution — Governing Law, Courts, and Jury-Trial Waiver
PLEASE READ CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING WHERE A DISPUTE IS HEARD AND YOUR RIGHT TO A JURY TRIAL. (a) Informal resolution first. Before any formal proceeding, contact us at andito@sahlware.com and give us at least 30 days to resolve informally. (b) Governing law. These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws principles. (c) Courts. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be brought exclusively in the state or federal courts located in King County, Washington, and you and ANDITO consent to their jurisdiction. Either party may instead bring a qualifying individual claim in small-claims court in the county where you live, and either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information. (d) JURY-TRIAL WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND ANDITO EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. (e) Severability and non-waivable rights. If any part of this Section is held unenforceable as to a claim, that part is severed for that claim and the remainder of this Section remains in effect. Nothing in this Section limits any right you have under applicable law that cannot be waived by agreement.
16. Termination
You may terminate by canceling and ceasing use. We may suspend or terminate access, with or without notice, for a reasonable belief of violation (including Sections 4 and 8), non-payment, or discontinuation of the Service. You may also delete your account and all associated data at any time from Settings; see Privacy Policy Section 8. On termination, your license (Section 10) ends. Sections 3, 9, 10, 11, 12, 13, 14, 15, and 18 survive. Upon termination or suspension, alerts, digests, and monitoring stop. You are responsible for maintaining alternative care and supervision at all times.
17. Changes to These Terms
We may modify these Terms. For material changes we will provide reasonable advance notice (email or in-app), update the "Last updated" date, and where appropriate require renewed acceptance. Changes are effective when posted or on the stated effective date. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and cancel under Section 6.
18. Miscellaneous
(a) Entire agreement — these Terms, the Privacy Policy, and any checkout terms are the entire agreement and supersede prior agreements on the subject. (b) Severability. (c) No waiver. (d) Assignment — you may not assign without our consent; we may assign in a merger/financing/asset sale or by operation of law. (e) Force majeure — no liability for failures beyond reasonable control (power/internet/carrier outages, acts of God, government action) (Section 3). (f) Relationship — no agency/partnership/JV/employment. (g) Notices — via email or through the Service. (h) Third-party services — the Service relies on third-party providers, such as hosting, text-message, and email delivery providers, and on mobile carriers; their availability is outside our control.
